Section III: Legal, economic, financial and technical information

  • III.1) Conditions relating to the contract

    • III.1.1) Deposits and guarantees required:

      The contractor must set up a performance bond, worth 10 % of the total contract value, before the first request for payment is made. The performance bond must be in the form of an irrevocable, unconditional guarantee, payable on demand, and evidenced by a letter of guarantee forwarded to the European Parliament by a bank, financial institution or third party approved by the European Parliament's paymaster before the first request for payment is made. All costs relating to the performance bond are to be borne by the contractor. The bond shall be freed as follows:

      — 50 % on contractor's request in the month following provisional acceptance of the works,

      — 50 % on contractor's request in the month following final acceptance of the works.

    • III.1.2) Main financing conditions and payment arrangements and/or reference to the relevant provisions regulating them:

      Invoicing procedures are as follows:

      — invoices will be based on periodic progress reports, drawn up on the last day of a given period, setting out the quantity of work done in this time and calculated using the bill of quantities and prices quoted by the contractor in his tender. Such periods must be at least 1 month long,

      — progress reports must be approved by project management and enclosed with the invoice. Payment of sums owing for performance of this contract is due within 45 calendar days from the date on which the payment request is received by the European Parliament's official mail service. Payment is considered made on the date on which the European Parliament's account is debited. The European Parliament may put this payment deadline on hold, at any time after receipt of the payment request, by notifying the contractor that his payment request is not acceptable, either because the amount claimed is not substantiated by the supporting documents required or because the European Parliament considers further checks to be necessary.

    • III.1.3) Legal form to be taken by the grouping of economic operators to whom the contract is to be awarded:

      Participation in invitation to tender procedures is open on equal terms to all natural persons, legal entities and public bodies who fall within the scope of the treaties and to all natural persons, legal entities and public bodies of third countries which have entered into a special agreement with the European Communities in the public procurement field, under the terms stipulated in said agreement. If candidates are not eligible under such an agreement, in exceptional cases they may be admitted by the European Parliament on an ad hoc basis to participate in the invitation to tender procedure without setting a precedent or obligation for the future. In order to determine the eligibility of candidates, they must indicate in their tenders the country in which they have their head office or are domiciled. They must also submit the proof required under their national law.

      Groupings of economic operators:

      groupings of economic operators are permitted to tender. The European Parliament reserves the right to request that the grouping awarded the contract assume a specific legal form if this is necessary for satisfactory performance of the contract. The European Parliament may give notice of this requirement at any time during the contract award procedure but, in any event, before the contract is signed. Candidates belonging to an economic grouping must specify in detail the existing contractual arrangements between members. The grouping of economic operators must provide proof of its legal form in the tender.

      This legal form may be 1 of the following:

      — an entity with a legal personality recognised by a Member State,

      — an entity with no legal personality, but offering the European Parliament sufficient protection as regards its contractual interests (e.g. depending on tenderers' Member State of origin, a consortium or temporary association),

      — signature, by all partners, of an 'express authority' which will ratify a form of cooperation. The document submitted must provide proof that the grouping has official status. The European Parliament may accept other legal forms not included above on the condition that they guarantee that the parties are jointly and severally liable and are compatible with performance of the contract. Tenders from groupings of economic operators must specify the role, skills and experience of each member of the grouping. Requests to participate will be made by groupings of economic operators who will be jointly and severally liable for the submission and during performance of the contract. Economic operators will be represented by a common party with all the powers needed to perform the contract. It will be the European Parliament's sole contact for contract performance. Each member of a grouping of economic operators must provide proof that they have access to the contract (eligibility) and the relevant documentary evidence concerning the exclusion and selection criteria. With regard to the selection criteria, the European Parliament may make use of the skills of other members of the grouping in order to determine if the candidate has the resources needed to carry out the contract. In this case, a written commitment will be required from these members stating that they will provide the other members with the resources needed to carry out the contract.

    • III.2.1) Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers:

      (a) candidates are reminded that, in accordance with Article 93 of Council Regulation (EC, Euratom) No 1605/2002 of 25.6.2002 on the Financial Regulation applicable to the general budget of the European Communities, as amended by Council Regulation (EC, Euratom) No 1995/2006 of 13.12.2006, they will be disqualified from participating in the contract award procedures if they:

      (i) are bankrupt or being wound up, their affairs are being administered by the courts, they have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure laid down in national regulations;

      (ii) have been convicted of an offence concerning their professional conduct by a judgment which has the force of res judicata;

      (iii) have been guilty of grave professional misconduct proven by any means which the contracting authorities can justify;

      (iv) have not fulfilled their obligations relating to the payment of social-security contributions or taxes in accordance with the legal provisions of their country of residence or those of the country of the contracting authority or those of the country where the contract will be carried out;

      (v) have been the subject of a judgment which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Communities' financial interests;

      (vi) are currently subject to an administrative penalty referred to in Article 96(1) of Council Regulation (EC, Euratom) No 1605/2002 of 25.6.2002.

      (b) Candidates are reminded that, in accordance with Article 94 of Council Regulation (EC, Euratom) No 1605/2002 of 25.6.2002 on the Financial Regulation applicable to the general budget of the European Communities, as amended by Council Regulation (EC, Euratom) No 1995/2006 of 13.12.2006, they will not be considered for contract award if, at the time of the award procedure for this contract, they:

      (i) are in a situation where interests conflict;

      (ii) are guilty of misrepresentation in furnishing the information required by the contracting authority in order to take part in the contract, or have not furnished said information;

      (iii) are in any of the situations giving grounds for exclusion from the award procedure for this contract referred to in points 1(i) to (vi) above.

      Evaluation of exclusion criteria:

      candidates must submit the documents mentioned in point VI.3.

      Administrative and financial penalties:

      (a) without precluding the application of penalties laid down in the contract, the candidate(s) and contractor(s) who have been guilty of misrepresentation or have been declared to be in serious breach of contract for failure to comply with their contractual obligations in an earlier contract shall be excluded from all contracts and grants financed by the Community budget for a maximum of 2 years from the time when the infringement is reported and established in a hearing with the tenderer, candidate or contractor. That period may be extended to 3 years in the event of a repeat infringement within 5 years of the first one. Candidates who have been guilty of misrepresentation may be fined an amount equivalent to 10 % of the total value of the contract being awarded. Contractors who have been declared to be in serious breach of contract shall also be fined an amount equivalent to 10 % of the value of the contract. That rate may be increased to 20 % in the event of a repeat infringement within 5 years of the first one.

      (b) In the cases referred to in points (i), (iii) and (iv) of paragraph (a), candidates shall be excluded from contracts and grants for a maximum of 2 years from the time when the infringement is reported and established in a hearing with the contractor. In the cases referred to in points (ii) and (v) of paragraph (a), candidates or tenderers shall be excluded from contracts and grants for a minimum of 1 year and a maximum of 4 years from the date on which the judgment is served. Those periods may be extended to 5 years in the event of a repeat infringement within 5 years of the first infringement or the first judgment.

    1. Content and presentation of requests to participate:

    candidate companies must submit a full original dossier with each page numbered and signed or initialled, comprising the originals of the documents listed below. Furthermore, candidates must submit 2 complete copies of this dossier. These must be true certified copies and marked 'Copie certifiée conforme'. The request to participate dossier shall comprise the following sections (their order and numbering must be respected).

    * Section 1, 'Statuts' (articles of association), must contain:

    the articles of association of the company commissioned or of each company if a grouping is involved, together with details of the registered office, share capital structure, shareholders and number of shares, members of the board of directors, and one of the following documents:

    — enrolment on the professional or trade register,

    — solemn declaration or a certificate showing membership of a specific organisation,

    — entry on the VAT register.

    * Section 2, 'Assurance' (insurance), must contain:

    a current insurance certificate for third-party liability (i.e. proving that the premiums have been paid for the current term).

    * Section 3, 'Bilans et chiffres d'affaires' (balance sheets and turnovers) must contain:

    copy of the financial statements (balance sheets and profit and loss accounts) for the past 3 calendar years from the tendering company or from each of the companies forming a grouping. Where so required by law, companies' financial statements must have been audited as specified under national regulations, by the appropriate bodies (for example by an auditor or similar). Companies which are not required by law to have their financial statements audited must state this fact.

    * Section 4, 'Justificatifs pour la sélection' (documentary evidence concerning selection) must contain: all the documents proving that candidates meet the selection criteria stipulated in this notice (see points III.2.2 and III.2.3).

    * Section 5, 'Justificatifs pour l'exclusion' (documentary evidence concerning exclusion) must contain:

    — recent extract from the judicial record or, failing this, an equivalent document recently issued by a judicial or administrative body in the country of origin or provenance, showing that the candidate/tenderer (or all members of a grouping) to be awarded the contract is not in any of the situations mentioned in points (i), (ii) or (v) of Article 93(1) of Council Regulation (EC, Euroatom) No 1605/2002 of 25.6.2002 on the Financial Regulation applicable to the general budget of the European Communities, as amended by Council Regulation (EC, Euratom) No 1995/2006 of 13.12.2006,

    the final date for submitting requests to participate is 22.9.2008 (12:00). Candidates may choose to send their requests to participate either by registered post, the valid date of dispatch in this case being the postmark, or by courier against issue of a signed and dated receipt, or deliver them to the offices of the institution, either in person or via any representative of theirs. The opening times of the Official Mail Department to which applications must be delivered are: Monday–Thursday, 9:00–12:00 and 14:00–17:00; and Friday, 9:00–12:00.

In all cases, and irrespective of the type of envelope used, envelopes must be sealed in such a way as to guarantee they cannot be tampered with before they are opened by the department concerned.
